| 公司法中国家公权力的内容主要有三项,即登记权、公司经营监管权与宏观调控权,由此而使公司法中的国家公权力既具有权力的一般特点,又与通常意义上的权力有所区别。文章的重心是分析公司法中国家公权力的界限,因此在第二部分提出了为国家公权力设限的必要性及其理论依据,然后才具体指出国家公权力在现代公司法中的三个界限是公司权力、公司权利和利益相关者的权利。 |

| Public authority of country has three terms in the law of corporation,namely the registration right,management and supervision right and macro-control right,which make the public authority of country in law of corporation have thecommon characteristics of authority,but is different from the ordinary authority.The thesis analyzes the boundary of public authority of country,and presents the necessity and their theory basis.At last it Points out that the three limits of public authority of country are as follows,the corporation power,the corporation right and right of people with related benefit. |
